1. About this agreement
This End User Licence Agreement ("EULA") is a legal agreement between you and Heyelsi Ltd ("Heyelsi", "we", "us") governing your personal use of the Elsi mobile application (the "App"). By downloading, installing, or using the App, you agree to be bound by this EULA. If you do not agree, do not use the App.
The App is provided to you as a member of staff at a school that has a separate written agreement with Heyelsi. The commercial and data processing relationship between your school and Heyelsi is set out in that agreement, not in this EULA.
2. Who can use the App
The App is intended only for staff at schools that have been invited to use Elsi by their school administrator. You may use the App only if:
- You have been issued an account by your school's administrator.
- You are an adult acting in a professional capacity as a member of school staff.
- You use the App solely for your work supporting children with special educational needs and disabilities (SEND).
The App is not intended for children, parents (outside of any specifically-enabled parent surface), or members of the general public.
3. Your licence
Subject to your compliance with this EULA, Heyelsi grants you a personal, limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to install and use the App on a device that you own or control, solely for the purpose described above.
This licence ends automatically if you leave the school, if your school's agreement with Heyelsi ends, or if you breach this EULA.
4. Your account and security
You are responsible for:
- Keeping your sign-in credentials confidential.
- Keeping the multi-factor authenticator app on your phone secure.
- Using the App on a device that has a screen lock, up-to-date software, and (ideally) device-level encryption.
- Signing out or notifying your school administrator if you leave the school, change role, or lose your device.
- All activity that occurs under your account.
5. Acceptable use
You agree to use the App professionally and lawfully. You will not:
- Enter information into the App that you do not have a lawful basis to record, or that relates to a child you have no professional reason to be working with.
- Share your account credentials with anyone, including colleagues.
- Use the App to harass, defame, or make inappropriate comments about pupils, families, or colleagues.
- Use the App to record information that should be raised through your school's safeguarding process. Safeguarding concerns must be reported to your designated safeguarding lead (DSL) and recorded through your school's CPOMS or equivalent system. Elsi is not a safeguarding system.
- Attempt to reverse engineer, decompile, copy, or modify the App or its underlying systems.
- Use the App to transmit malware or interfere with its operation.
- Use any output of the App (including AI-generated summaries or suggestions) as a substitute for your own professional judgement.
6. AI features
The App uses artificial intelligence to help you support pupils — including matching observations to a curated library of SEND strategies, generating written summaries when you ask questions about a pupil, and identifying simple patterns across observations.
All AI outputs are advisory. They are presented as information for you to consider. You are responsible for any decisions or actions you take in your role as a member of staff. The App does not make decisions, does not act autonomously, and does not replace the judgement of qualified professionals.
Before any pupil information is sent to our AI service, personal identifiers are automatically removed. Details are in our Privacy Policy.
7. Privacy
Personal information processed through the App is handled in accordance with our Privacy Policy and the written Data Processing Agreement between Heyelsi and your school.
8. Updates and changes
We may release updates to the App from time to time. Some updates may add or change features; some may be required for the App to continue to function. You may need to install updates to keep using the App.
We may also change this EULA from time to time. Material changes will be brought to your attention. Continued use of the App after a change means you accept the updated terms.
9. Availability and support
We aim to keep the App available and working, but we do not guarantee uninterrupted service. We may need to take the App down temporarily for maintenance or for unforeseen technical reasons.
If you experience a problem with the App, please report it to your school administrator in the first instance. Your school's agreement with Heyelsi sets out the support arrangements.
10. Intellectual property
The App, its underlying code, design, models, brand, and content are owned by Heyelsi Ltd or its licensors. This EULA grants you a licence to use the App — not any ownership rights. The curated library of SEND strategies within the App is the intellectual property of Heyelsi and its content authors.
11. Termination
Your right to use the App ends automatically if:
- Your school administrator removes or disables your account.
- Your school's agreement with Heyelsi ends.
- You breach this EULA.
On termination you must stop using the App and may be required to remove it from your device.
12. Our liability to you
To the fullest extent permitted by law:
- The App is provided "as is". We exclude all warranties and conditions to the extent allowed by law.
- We are not liable to you personally for any indirect, incidental, or consequential loss arising from your use of the App.
- Our total liability to you under this EULA is limited to £100.
- Nothing in this EULA limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded under English law.
Your school's separate agreement with Heyelsi governs commercial liability between Heyelsi and the school.
13. Apple-specific terms
If you have downloaded the App from the Apple App Store, the following additional terms apply between you and Heyelsi (not between you and Apple):
- This EULA is concluded between you and Heyelsi only, and not with Apple. Heyelsi (not Apple) is solely responsible for the App and its content.
- The licence granted to you for the App is limited to a non-transferable licence to use the App on any Apple-branded products that you own or control, as permitted by the Apple Media Services Terms.
- Apple has no obligation to provide any maintenance or support services for the App.
- To the maximum extent permitted by law, Apple has no warranty obligation with respect to the App. Any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to any warranty are Heyelsi's sole responsibility.
- Heyelsi (not Apple) is responsible for addressing any claims you may have relating to the App, including product liability claims, claims that the App fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection or similar legislation.
- In the event of any third-party claim that the App or your use of it infringes that third party's intellectual property rights, Heyelsi (not Apple) is solely responsible for the investigation, defence, settlement, and discharge of that claim.
- You represent and warrant that you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country; and that you are not listed on any U.S. Government list of prohibited or restricted parties.
- You acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of this EULA, and that, upon your acceptance of this EULA, Apple has the right (and is deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary.
14. Governing law
This EULA is governed by the law of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
